The Management Board of Atende S.A. (′Company′), with reference to current report No 11/2018 of 29 November 2018, informs that on 24 January 2019 an agreement was signed between the consortium comprising Dimension Data Polska sp. z o.o. (consortium leader) and Atende S.A. (consortium member) on the one hand, and the General Police Headquarters (′Employer′) on the other, with a value of PLN 54.4 million gross (′Agreement′). The amount of remuneration due to Atende S.A. is PLN 18 million gross. The subject matter of the Agreement is modernisation and implementation of new solutions and e-services in the Integrated Communication System of the Nationwide 112 ICT Network. The scope of works includes the system and network part, as well as the security aspect, starting from a design, through delivery and implementation, as-built documentation, post implementation workshop and service maintenance. The performance of the Agreement is divided into eight stages: stage 1 – preparation of a design, stage 2 – deliveries, stages 3-7 - implementation works, migration to new solutions, etc., step 8 – provision of maintenance and support services for a period of 5 years. In accordance with the Agreement, the implementation is to be completed in February 2020.

The Agreement stipulates liquidated damages for: (i) withdrawal from or termination of the Agreement for reasons attributable to the Company – in the amount of 20% of the Agreement value, (ii) delay in the performance of individual stages of Agreement – in the amount of 0.5% of gross remuneration for the respective stage, for each day of delay, (iii) if delay in the performance of individual stages of the Agreement exceeds 20 working days, the Employer shall have the right to withdraw from the Agreement, (iv) disclosing confidential information of the Employer to third parties – a penalty of PLN 100 thousand for each breach, (v) delivery of products with legal defects – a penalty of PLN 50 thousand for each such case. In addition to the liquidated damages, the Employer may claim compensation under the general Civil Code rules up to the amount of the actual damage. The general terms and conditions for the performance of the Agreement do not differ from standard terms and conditions for this type of services.
