The Management Board of Atende S.A. (′Issuer′) informs that on 16 September 2020 a division plan was agreed, adopted and signed in respect of Atende Software sp. z o.o. with the registered office in Warsaw (′Divided Company′), a subsidiary fully owned by the Issuer.

Following the planned division, a newly-established company will be separated from the Divided Company, i.e.: Atende Industries sp. z o.o. (′Newly Established Company′) – pursuant to Article 529 §1 (4) of the Code of Commercial Companies (division by separation), in the form of an organised part of the enterprise and a transfer of part of the assets of the Divided Company associated with IT systems for the energy sector (Smart Grid) to the Newly Established Company, i.e. activity in the sectors of distribution of multimedia contents online and IT security at the Divided Company.

The division is aimed at separating activities without synergy effects. In addition, a review of the strategic options for the Divided Company and the Newly Established Company will be conducted for the purpose of their development and to maximise value for shareholders.
