With reference to the current report No 12/2020 of December 29th, 2020, on the conclusion between the Issuer and Custodia Capital Flix spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw (KRS No 0000871583) (the ′Buyer′) of a share purchase agreement (the ′Shares′) in Atende Software spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw (KRS No 0000287417) (′Atende Software′) (the ′SPA′), the Management Board of Atende S.A. (the ′Issuer′) hereby reports that in accordance with the provisions of the SPA, the ownership of the Shares has been transferred to the Buyer due to the Buyer’s payment of the sale price for the Shares (the ′Sale Price′).

At the same time, the Issuer fulfilled its obligations specified in the SPA, i.e. (i) notified the Buyer of the crediting of the bank account with the Sale Price, (ii) signed the report confirming the transfer of ownership of the Shares with the Buyer, and (iii) notified Atende Software, together with the Buyer, of the transfer of ownership of the Shares to the Buyer.
